Grant of License: The material on this software and/or web-based application and in any documentation is copyrighted by Background Solutions, LP ("Background Solutions"). Background Solutions grants you a nonexclusive license to use this material as long as you abide by the terms of this agreement.

Ownership: You own the disk, if any, on which the material is recorded, but Background Solutions retains title and ownership of the material on the original disk and/or the web-based application and any documentation and all subsequent copies of the material regardless of the form or media in which or on which the original and other copies may exist. This license is not a sale of the material or any copy. The terms of this agreement apply to derivative works.

Permitted Users: The material on any disk and/or web-based application is licensed to you for use by one individual. At any given time, the material on any disk and/or the web-based application may be installed only on the computer used by that individual. That individual may be the individual purchaser or an individual designated by the entity that purchased this product. You may not permit other individuals to use this material unless you purchase additional licenses. Purchasers of this product are specifically prohibited from using any disk and/or the webbased application to distribute these materials to more than one individual, except as provided herein. A separate license must be purchased for each individual who uses these materials.

Term: This license is effective for one (1) year, and for such time thereafter as renewed annually. This license will also terminate automatically upon your failure to comply with any term or condition of this agreement. In the event of such termination, you agree to promptly destroy any disk, software and/or documents, together with all copies, modifications and merged portions in any form.

Copies: You may make a copy of any disk and/or the web-based application for backup purposes, only. Otherwise, you may copy the material on any disk and/or the web-based application only as necessary to allow use by the users permitted under the license you purchased. Copyright notices should be include on copies. You may copy the documentation, including any copyright notices, as needed for reference by the authorized user, but not otherwise.

Transfer: You may not transfer any copy of the material on any disk and/or the web-based application or any documentation to any other individual or entity unless the transferee first accepts this agreement in writing and you transfer all copies, wherever located or installed, of the material and documentation, including the original provided with this agreement. You may not rent, loan, lease, sub-license, or otherwise make the material available for use by any individual other than the permitted users except as provided in this paragraph.

Limited Warranty and Limited Liability: If any disk is physically defective, Background Solutions will replace it if you return it within 30 days of purchase. BACKGROUND SOLUTIONS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE MATERIAL ON ANY DISK AND/OR WEB-BASED APPLICATION, ANY DOCUMENTATION, OR THIS AGREEMENT. BACKGROUND SOLUTIONS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. THE MATERIAL ON ANY DISK AND/OR WEB-BASED APPLICATION AND IN ANY DOCUMENTATION IS PROVIDED "AS IS."

BACKGROUND SOLUTIONS SHALL NOT BE LIABLE FOR THE LEGAL SUFFICIENCY OR LEGAL ACCURACY OF ANY OF THE MATERIAL CONTAINED ON ANY DISK AND/OR WEB-BASED APPLICATION. NEITHER BACKGROUND SOLUTIONS NOR ANY OF THE CONTRIBUTORS TO THE MATERIAL MAKES EITHER EXPRESS OR IMPLIED WARRANTIES WITH REGARD TO THE USE OR FREEDOM FROM ERROR OF THE MATERIAL. EACH USER IS SOLELY RESPONSIBLE FOR THE LEGAL EFFECT OF ANY USE OR MODIFICATION OF THE MATERIAL.

IN NO EVENT SHALL BACKGROUND SOLUTIONS BE LIABLE FOR LOSS OF PROFITS OR FOR INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF BACKGROUND SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. BACKGROUND SOLUTION’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE MATERIAL ON ANY DISK AND/OR THE WEB BASED APPLICATION OR IN ANY DOCUMENTATION IS LIMITED TO THE PURCHASE PRICE YOU PAID FOR THE LICENSED COPYRIGHTED PRODUCT. THIS AGREEMENT DEFINES YOUR SOLE REMEDY.

U.S. Government Rights: The Business Solutions software and/or web-based application is a "commercial item," as that term is defined at 48 C.F.R. 2.101 (Oct. 1995), consisting of "commercial computer software" and "commercial computer software documentation," as such terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995) (or an equivalent provision, e.g., in supplements of various U.S. government agencies, as applicable), all U.S. Government users acquire the Business Solutions software and web-based application with only those rights set forth herein. Manufacturer is Background Solutions, LP, 5435 North Garland Avenue, Suite 140, Garland, Texas 75040.

General provisions: This agreement, along with the Software/Web-Based Application License Agreement, contains the entire agreement between you and Background Solutions concerning the license to use the material on any disk and/or web-based application. The waiver of any breach of any provision of this agreement does not waive any other breach of that or any other provision. If any provision is for any reason found to be unenforceable, all other provisions nonetheless remain enforceable.
